What is an Agency Agreement?
Agency agreement could be a legal contract making a fiduciary relationship whereby the primary party (“the principal”) agrees that the actions of a second party (“the agent.”) binds the principal to later agreements created by the agent as if the principal had himself in person created the later agreements. The Agent shall only marketplace and offer for sale the products within the Country, as defined in this Agreement. The Company reserves the right to add to or subtract from the list of Products authorized on Show A attached hereto with notice to the Agent.
- Territory
The Agent shall be authorized to market the Produce in [Territory] (the “Territory”).
- Exclusivity
The Agent shall be the exclusive party authorized to marketplace the Product within the Territory.
- Trademark Rights
The Agent agrees and acknowledges the following regarding the Company’s trademark:
The Company is the sole and limited owner to all right, title, and interest in “[Sender. Brand Name]” or to any other trademarks associated with the Corporation (the “Corporation Brand Name/Trademarks”) which the Agent may utilize in performing the services herein.
The Company hereby grants to the Agent for the duration of this Agreement and subject to the constraints stated within this Agreement a non-exclusive, non-transferable, revocable right to use the Company Trademarks as necessary to the marketplace and offer for sale the Products within the Country.
